Definitions
In these terms, Boing means Boing Limited. Boing app means the mobile application or related service we make available to you. BoingID means the unique identifier you register in the Boing app to receive payment requests or payments. Payment consent means the permission you give through Boing for Boing to send a payment initiation request to your selected bank. Bank means the New Zealand bank or account provider you select when using Boing.
1. Agreeing to these terms
These terms are an agreement between you and Boing Limited (Boing, we, us, our), New Zealand company number 9452129. By registering for, accessing, or using Boing or the Boing app, you confirm that you have read, understood, and agree to be bound by these terms and our Privacy Policy.
When using Boing, you should also be aware of any other terms that apply to you, including the terms of your bank account provider. We are not responsible for any products or services provided by your bank or by any other third party.
2. Changes to these terms
We may change these terms by publishing an updated version on our website at https://boing.nz/terms-of-use. If a change is material, we will give you reasonable notice through the app, by email, or by another reasonable method before the change takes effect, unless we need to make the change sooner for legal, security, or operational reasons. Updated terms apply to your use of Boing and the Boing app from the date they take effect. If you do not agree with the updated terms, you must stop using Boing and may close your account at any time (see clause 9).
3. Boing services
Boing provides payment initiation and account information functionality that communicates with your selected New Zealand bank accounts through approved or legislated banking APIs. Boing is not a bank, does not hold your funds, and does not operate your bank account. Boing enables you to:
- Initiate a payment consent. When you initiate a payment through Boing, you authorise us to send a payment initiation request to your selected bank. Your bank will ask you to authenticate yourself and approve the payment consent through its secure app or website, unless your bank allows another approved process.
- If you have a standing or enduring consent in place, your bank may process a payment initiation request without redirecting you each time, depending on your bank's requirements and the consent you have approved.
- You are responsible for ensuring sufficient funds are available for each payment. Your bank may decline or fail to process a payment if there are insufficient funds or for any other reason permitted under your bank's terms.
- Receive a payment request. You may receive payment requests through the app. You are not required to accept or act on a payment request. You may decline a request, which notifies the requester, or dismiss it, which does not notify the requester.
- Access account activity. Boing may display account information and account activity made available by your selected bank through the service. We may retain account activity initiated through Boing for a limited period. Your bank or account provider remains responsible for your full account records and transaction history.
- Save payee bank account numbers securely in the app, then recall them by mobile phone number or unique BoingID.
- Enable and use other associated functionality as it is released. You will be notified in the app when new functions are available.
Boing does not move your money through our system or hold your funds. Boing is free to use for standard person-to-person payments up to a monthly limit. Some optional features (for example, faster transactions, higher-value transfers, or a business receiving tier) may carry a fee. If a fee applies to a feature, we will display the applicable fee before you choose to use that feature. You are not required to use any paid feature unless you agree to the applicable fee. 4. Your data and BoingID
To receive payment notifications or payment requests, your phone number and unique BoingID must be registered in the app at sign-up. By registering a phone number or BoingID, you authorise Boing to make that identifier available within the Boing directory so that other Boing users can send you payment requests or payments.
- A BoingID is a free, memorable identifier you can set along with your phone number, for people who would rather not share their phone number or want an easy way to share an identifier to receive a payment.
- You can choose which of your linked bank accounts a payment made to your phone number or BoingID is paid into, and you can change this at any time.
- You can deactivate or remove your phone number or BoingID from the directory at any time in the app. Once removed, no new payments can be sent to that identifier until you re-register it.
- If you stop using the mobile number linked to your Boing account (for example, if you change providers or the number is reassigned by your provider), you must update or remove it from Boing as soon as possible. We may also periodically ask you to reconfirm a phone number that has been inactive, to reduce the risk of a payment being sent to a number that no longer belongs to you.
- We may show the payer a name check before a payment is sent to help them confirm they are paying the intended recipient. You are responsible for checking that the name and details shown for your account are accurate.
Boing follows our Privacy Policy when handling your information. By using our service, you agree to provide accurate information when registering and to maintain that information as current while using the service.
5. Making a payment consent
When you send a payment consent using Boing, you must check that the recipient, the payee details, and the amount are all correct before you approve the payment in your bank's app or website.
Once you have approved a payment consent with your bank, it cannot be cancelled or recalled by Boing. You are responsible for reviewing your payment history in the Boing app. If you notice a payment you did not authorise, or a payment that has gone to the wrong person, contact your bank and/or Boing immediately using the details in clause 17.
Any cancellation, reversal, refund, or recovery request must be handled through your bank or the receiving bank, unless Boing tells you otherwise.
Boing is not a means of payment in itself - it is a way of instructing your bank to make a payment. We are not responsible for carrying out the transfer of funds, and we are not acting as your agent in that transfer. Your bank may decline to act on a payment instruction for its own reasons, in line with its own terms and conditions.
6. Keeping your account secure
- You are responsible for keeping your mobile device and any passcodes, biometric login (such as fingerprint or face recognition) or other security features you use to access Boing secure.
- You must not share your login details with anyone else, or let anyone else access Boing using your device's biometric login.
- You must tell us as soon as possible if you become aware of unauthorised access to your Boing account, or if your device is lost or stolen.
- Because Boing uses your own bank's login to authorise payments, you should also follow your bank's security guidance for protecting your online or mobile banking credentials.
- You must keep your device, operating system, and Boing app reasonably up to date and must not disable, bypass, or interfere with security features used by Boing.
7. Incorrect or unauthorised payments
If you make a payment to the wrong phone number, BoingID, or person, or you notice a payment on your account you did not authorise, you must tell us and your bank as soon as possible. We will do what we reasonably can to help - for example, by contacting the receiving bank on your behalf - but we cannot guarantee that a payment can be recovered once it has settled, and we are not able to reverse a payment ourselves.
Nothing in this clause limits any rights you may have under applicable law, your bank's terms, or any applicable payment scheme rules.
8. Prohibited use
- in any illegal manner, or in breach of these terms or any applicable law or regulation;
- to send or request payments relating to fraud, scams, or any illegal goods or services;
- to attempt to gain unauthorised access to any other person's account, or to Boing's systems or data;
- to interfere with, disrupt, reverse-engineer, or attempt to undermine the security of Boing or the directory; or
- to send, request, or receive payments connected with money laundering, terrorist financing, sanctions evasion, or any activity we reasonably consider high risk, unlawful, or inconsistent with our legal or regulatory obligations.
Any prohibited use may result in the suspension or termination of your account, and we may report suspected fraud or illegal activity to your bank, the police, or another relevant authority.
9. Suspending or closing your account
You can close your Boing account at any time in the app, or by contacting us. Closing your account removes your phone number and BoingID from the directory and deletes or de-identifies your account data in line with our Privacy Policy, except to the extent we need to retain information for legal, regulatory, fraud-prevention, dispute, security, audit, tax, or operational reasons.
We may suspend or close your account, with or without notice to you, if we reasonably believe it is necessary to protect the security of Boing, if we suspect fraudulent or unauthorised activity, or if you breach these terms. Where it is practical to do so, we will tell you why.
10. Third-party services
Boing relies on New Zealand's open banking infrastructure, including APIs provided by banks and, where relevant, connectivity or accreditation services provided by third parties. We are not responsible for the availability, accuracy, or performance of any third-party service, including your bank's app or website, your device, your mobile network, or your internet service provider, except to the extent the issue is caused by Boing.
11. Intellectual property
We own or hold the rights to use all intellectual property in Boing, including the app, our branding, and the BoingID system. You may use Boing as we make it available to you, but this does not give you any rights to our intellectual property, and you must not copy, modify, or reverse-engineer any part of it.
12. Our liability
Nothing in these terms limits or excludes our liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited by law.
To the maximum extent permitted by law, we are not liable to you for any indirect, special, incidental, or consequential loss or damage, including loss of data, revenue, profits or expected savings, arising from your use of Boing, even if we knew such loss was possible.
13. Indemnity
As far as the law allows, you agree to indemnify us against any costs, losses or liabilities we reasonably incur because of your breach of these terms, except to the extent we caused or contributed to that loss.
14. Complaints and dispute resolution
If you have a complaint or concern about Boing, contact us first using the details in clause 17 and we will do our best to put it right quickly and fairly.
If you are not satisfied with how we have handled your complaint, you can refer the matter, free of charge, to [insert approved dispute resolution scheme name, contact details, and required wording], an independent dispute resolution scheme we belong to.
15. Governing law
These terms are governed by the laws of New Zealand, and any dispute relating to these terms or Boing must be brought in the courts of New Zealand, unless a law that applies to you requires otherwise.
16. General
If we do not enforce a right under these terms, that does not mean we have given it up. If any part of these terms is found to be unenforceable, the rest will continue to apply. You cannot transfer your rights under these terms to anyone else without our written consent. We may transfer or assign our rights and obligations under these terms as part of a business sale, restructure, merger, or transfer of the Boing service.
